Mirra Terms of Service & Acceptable Use Policy

Welcome to Mirra. By creating an account or using our services, you agree to these Terms of Service (“Terms”). If you do not agree, do not use Mirra.

1. Service Overview

Mirra is a per-user software service that helps sellers turn their own product designs into store-ready listings. You upload design images, and Mirra uses artificial intelligence, together with research drawn from publicly available marketplace listings, to generate listing metadata (such as titles, tags, and descriptions) and to compose simple product mockups from your saved templates.

You can then publish the results as drafts to store platforms you connect — currently Etsy and Shopify — or export them as files (for example, a ZIP) for manual upload. Mirra creates drafts for your review; it does not automatically list or sell products on your behalf unless you explicitly enable and confirm that action. Mirra does not endorse, encourage, or permit copyright or trademark infringement.

2. Eligibility & Accounts

You must be at least 18 years old and able to form a binding contract to use Mirra. You are responsible for keeping your account credentials secure and for all activity that occurs under your account. Mirra accounts are for individual use; the Service does not provide team, organization, or multi-tenant features.

3. Subscription, Billing & Refunds

Mirra is offered on a flat monthly subscription. Payments are processed by Stripe; we do not store your full card details. Key terms:

• Your subscription includes a set number of listing generations per billing cycle. Usage that exceeds your plan’s included allowance may be blocked until your next cycle.
• Subscriptions renew automatically each cycle until you cancel. You can cancel at any time from your billing settings; cancellation takes effect at the end of the current billing cycle.
• Subscription fees, and any listing generations (operations) already used, are non-refundable. To stop future charges, cancel as described above.
• Prices, included allowances, and features may change. We will give notice of material changes as described in Section 11.

4. Your Responsibilities

You agree that:

You will only use the Service in compliance with all applicable laws, regulations, and intellectual property rights, and with the terms and policies of any store platform you connect (including Etsy’s and Shopify’s seller and API policies).

You will not use Mirra to create, upload, publish, or distribute content that:

• Infringes on copyrights, trademarks, or other intellectual property rights.
• Closely replicates or copies protected designs without permission.
• Violates another person’s privacy, publicity, or moral rights.

You are solely responsible for the content you create using Mirra and for the listings you publish to any connected store, including any legal claims arising from that content.

5. AI-Generated Content

Listing metadata, tags, descriptions, and mockups produced by Mirra are generated automatically and may contain inaccuracies, omissions, or content that is not suitable for your product or marketplace. You are responsible for reviewing and editing all generated content before publishing it. Mirra applies filters intended to reduce trademarked terms in generated tags, but these filters are not guaranteed to catch every case, and final compliance with each marketplace’s policies remains your responsibility.

6. Intellectual Property Rights

Your Content: You retain all rights to the design images you upload and the content you create using Mirra, subject to these Terms. You grant Mirra a limited license to store, process, and display your content solely for the purpose of providing the Service (including sending drafts to platforms you connect).

Third-Party Content: If you provide content or links from external sources (including marketplaces such as Etsy and Shopify), you represent and warrant that you have the necessary rights or permissions to use and reproduce that content.

Mirra’s Content: All software, branding, and other materials provided by Mirra are owned by us or our licensors.

7. Third-Party Platforms & Services

Mirra integrates with third-party platforms and service providers to deliver its features, including store platforms (Etsy, Shopify), payment processing (Stripe), AI and infrastructure providers, and others described in our Privacy Policy. Your use of those platforms is governed by their own terms and policies.

Mirra is an independent product. It is not created by, affiliated with, endorsed by, or certified by Etsy, Inc. or Shopify Inc. “Etsy” is a trademark of Etsy, Inc. and “Shopify” is a trademark of Shopify Inc. We access these platforms only through their official APIs and only with the access you authorize.

8. Acceptable Use Policy

You may not use Mirra to:

• Infringe or misappropriate another party’s intellectual property rights.
• Generate counterfeit, deceptive, or misleading products.
• Recreate designs that you do not own or have rights to sell.
• Use the Service in any way that violates applicable law.
• Attempt to bypass usage limits, reverse-engineer the Service, or disrupt its infrastructure or that of any connected platform.

9. DMCA Compliance & Takedowns

Mirra complies with the Digital Millennium Copyright Act (DMCA). If you believe that content generated through our Service infringes your copyright, please submit a written notice to:

Your notice must include the information required by 17 U.S.C. § 512(c)(3). Upon receiving a valid notice, we will remove or disable access to the allegedly infringing material.

10. Account Termination

We may suspend or terminate your account if you:

• Violate these Terms or our Acceptable Use Policy.
• Receive multiple valid IP complaints.
• Engage in activity that poses legal or reputational risk to Mirra.

11. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you via email or through the Service. Your continued use of Mirra after changes take effect constitutes your acceptance of the new Terms.

12. Limitation of Liability

Mirra provides the Service “as is” and makes no warranties. We are not responsible for how you use the content generated with Mirra, for listings you publish to any connected store, or for any disputes, claims, or damages resulting from your use of the Service. You agree to indemnify and hold harmless Mirra from any claims related to your content.

13. Governing Law

These Terms are governed by the laws of the United States, without regard to conflict of laws principles.
